General Terms and Conditions (GTC)
for the use of the platforms and services of
Restopage / Virtuma UG (haftungsbeschränkt)

§ 1 – Provider, Scope, Subject Matter of the Contract

- These GTC apply to all services operated by Virtuma UG, in particular:
- Restopage.eu
- shop.restopage.eu
- Letzdine
- Restopage Mobile App
- Further sub-pages, subdomains and associated SaaS services
- The customer receives the opportunity to operate a digital restaurant presence via the Restopage system, consisting of, among other things:
- a website created in the Restopage system
- Menu and content management
- Online ordering system
- Reservation system
- App for order and table management
- Hosting & technical provision
- optional additional modules
- The contract is concluded through ordering, registration, written agreement or use.
- It is a Software-as-a-Service system (SaaS).
Individual software development is not owed.
§ 2 – Scope of Services of Restopage
- Restopage provides the following main services:
- Creation of the restaurant website within the Restopage system
- Hosting, system operation and technical provision
- Access to the Restopage Mobile App
- Management of orders and reservations
- Provision of statistics, tools and settings
- Ongoing updates, function improvements and system optimizations
- Changes to functions, designs and modules are possible at any time, provided that the main service is maintained.
- There is no claim to a specific presentation, a specific function set or future planned features.
§ 3 – Fee Model, Additional Services, Revenue Threshold Rule
1. Website creation (fixed price)
- A one-time fixed price is charged for setting up the restaurant website.
The exact price results from the respective offer or the individual agreement.
2. Online ordering system (revenue-dependent fees)
- The use of the online ordering system is free of charge as long as the monthly gross revenue generated via Restopage remains below a defined threshold.
- If this threshold is exceeded within a calendar month, the service automatically switches to paid use from the following month.
- The customer will be informed in good time about exceeding the revenue limit.
- The specific amount of the monthly fee is displayed in the offer, in the dashboard or in the price lists and is not the subject of these GTC.
3. Additional services (add-ons)
- Optionally bookable additional modules, such as:
- Domain integration
- Data maintenance service
- Extended system functions
- Premium modules
are offered and billed separately.
§ 4 – Terms of Payment
- Payments are made monthly or annually in advance, depending on the agreement.
- Invoices are due within 14 days without deduction.
- If the customer is in default for more than 30 days, Restopage is entitled to:
- Block services
- Deactivate accesses
- Charge reminder and default costs
The payment obligation remains during the blocking.
- Returned direct debits and chargebacks can lead to immediate blocking.
§ 5 – Payment Processing for Customer Orders
- For online payments, Restopage uses third-party providers such as Stripe, Mollie or PayPal.
- Online payments are paid directly to the restaurant’s account.
Restopage does not accept any order money. - The restaurant bears all fees of the payment providers.
- The customer is solely responsible for:
- proper activation of his payment provider
- KYC / identification
- tax obligations
- legally correct handling of online payments
§ 6 – System Availability & Technical Requirements
- Restopage strives for high availability, but does not guarantee permanent or uninterrupted accessibility.
- Failures can occur due to, among other things:
- Maintenance work
- Updates
- Server load or technical malfunctions
- Problems with third-party providers
- Network or power failures
- DDoS attacks
- The customer is responsible for:
- stable internet
- functional terminal device
- Activation of push notifications
- regular control of new orders
- Restopage assumes no liability for problems on the customer’s side.
§ 7 – Obligations of the Customer
The customer undertakes to:
- to provide all required data correctly
- to comply with legal information and labeling obligations (TMG, LMIV, PAngV)
- to keep allergens, prices and mandatory information up to date
- to only use content for which he has the necessary rights
- to treat personal customer data in accordance with GDPR
- to regularly check orders in his system
- to treat access data confidentially
- not to publish any illegal content
In case of violations, Restopage can:
- Block content
- Deactivate functions
- terminate the contract without notice
§ 8 – Fair Use, Security & Abuse
- Restopage can take measures against abuse or excessive load.
- These include, among other things:
- temporary blocking or throttling
- Deactivation of individual modules
- Prevention of automated retrievals
- technical security measures
- The customer must ensure that third parties do not operate any abuse via his account.
§ 9 – Liability
- Restopage is only liable in case of intent or gross negligence.
- Restopage is not liable for:
- lost profit or revenue losses
- Disturbances by third-party providers (Stripe, Google, Apple, Android etc.)
- incorrect presentation due to incorrect customer data
- lost or delayed orders due to technical problems
- Failures of hosting, internet or app services
- Restrictions due to system updates
- Liability for data loss exists only if this was caused by gross negligence on the part of Restopage.
§ 10 – Rights of Use
- Software, app, system, design and structure remain the property of Virtuma UG.
- The customer receives a simple, non-transferable right of use for the duration of the contract.
- Contents of the customer remain his property.
§ 11 – Data Protection
The data protection declaration published on the website applies.
The customer is himself responsible for the data of his guests.
§ 12 – User Account and Access Data
- The customer receives a personal user account. Access data must not be passed on to unauthorized third parties.
- The customer is obliged to keep access data safe.
- The customer is liable for all activities that take place via his account, insofar as he is responsible for this.
- In case of suspicion of abuse, the customer is obliged to inform Restopage immediately.
- Restopage can reset access data at any time for security reasons.
§ 13 – Contract Duration & Termination
- Monthly contracts can be terminated at any time at the end of the month.
- Annual contracts must be terminated at the latest 30 days before expiry.
- Without termination, contracts are automatically extended.
- Restopage can terminate the contract without notice for good cause.
§ 14 – Changes to the GTC
- Restopage can change these GTC.
- Changes will be communicated to the customer by email or system message.
- If the customer does not object within 14 days, the changes are deemed accepted.
§ 15 – Creation of the Restopage Website
- The creation of the website takes place after placing the order and providing all required content.
- The regular implementation time is 4 to 8 weeks, depending on the scope and data delivery.
- This deadline is not binding.
Delays can occur in particular due to:
- missing content
- complex requirements
- high system load
- technical circumstances
§ 16 – Final Provisions
- German law applies.
- Place of jurisdiction, if permissible: Amtsgericht Trier.
- Should individual provisions be ineffective, the remainder of the GTC remains effective.
